These Terms of Service (“Terms”) govern your access to and use of SheetPilot’s website, applications, and related services (the “Services”). SheetPilot is provided by Brihaspathi (see brihaspathi.com). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
SheetPilot provides tools to connect spreadsheets and related data sources, generate APIs, themes, hosted pages, and related functionality described on our site. Features may change over time. We may suspend or discontinue parts of the Services with reasonable notice where practicable.
2. Eligibility
You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements that apply. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
3. Accounts and authentication
You may need an account to use certain features. You are responsible for safeguarding your credentials and for activity under your account. If you use Google or other third-party sign-in, your use is also subject to those providers’ terms and your account settings.
4. Acceptable use
You agree not to:
- Violate applicable laws or regulations;
- Infringe intellectual property or other rights of third parties;
- Upload or process unlawful, harmful, fraudulent, or deceptive content;
- Attempt to gain unauthorized access to the Services, other users’ data, or our systems;
- Probe, scan, or test vulnerabilities without authorization, or interfere with the integrity or performance of the Services;
- Use the Services to distribute malware, spam, or phishing;
- Resell or redistribute the Services in violation of your plan or our written agreement;
- Use automated means to scrape or overload the Services in a manner that impairs availability for others.
We may investigate violations and suspend or terminate access where we reasonably believe there is a breach of these Terms or risk to the Services or other users.
5. Your content and data
You retain ownership of content you submit or connect to the Services. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and distribute your content solely as needed to operate, secure, and improve the Services for you and as described in our Privacy Policy.
You represent that you have all rights necessary to provide your content and that doing so does not violate third-party rights or law.
6. Intellectual property
The Services, including software, branding, documentation, and templates (excluding your content), are owned by us or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
7. Third-party services
The Services may rely on or link to third-party products (for example Google APIs). Those services are governed by the third party’s terms. We are not responsible for third-party services.
8. Plans, billing, and taxes
Paid plans, fees, and billing cycles are described at checkout or in your account. Unless stated otherwise, fees are non-refundable except as required by law. You are responsible for applicable taxes. If payment fails, we may suspend paid features.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US FOR THE SERVICES IN THAT PERIOD.
Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum permitted by law.
11. Indemnity
You will defend, indemnify, and hold harmless us and our affiliates, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of the Services, or your violation of these Terms or law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Services in accordance with Section 1. Provisions that by their nature should survive will survive termination (including Sections 5–14).
13. Governing law and disputes
These Terms are governed by the laws applicable in India, without regard to conflict-of-law rules, unless mandatory consumer protection laws in your country require otherwise. Courts located in India shall have exclusive jurisdiction for disputes arising from these Terms, subject to any mandatory rights you have as a consumer in your home country.
14. Changes to these Terms
We may modify these Terms by posting an updated version on this page and updating the “Last updated” date. If changes are material, we will provide notice as appropriate (for example via email or an in-product notice). Continued use after the effective date constitutes acceptance of the revised Terms where permitted by law.
